We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, including the availability of any feature, database, or content.

3. Intellectual Property

Our Intellectual Property

The Services and their original content, features, and functionality are owned by Tricky Ace Agency and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Client Content

You retain all rights to the content you provide to us for use in our Services. By submitting content to us, you grant Tricky Ace Agency a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Services to you.

Deliverables

Upon full payment, you will receive ownership of the final deliverables created specifically for your project, excluding any proprietary tools, frameworks, or software we use to create those deliverables.

4. User Responsibilities

When using our Services, you agree to:

• Provide accurate and complete information about your educational institution
• Cooperate with our team and provide necessary materials in a timely manner
• Obtain proper permissions for any content you provide (images, text, etc.)
• Use our Services in compliance with all applicable laws and regulations
• Not engage in any fraudulent, abusive, or illegal activities
• Maintain the confidentiality of any login credentials provided

5. Payments & Billing

Fees

Our fees are outlined in your service agreement or proposal. All fees are quoted in US dollars unless otherwise specified.

Payment Terms

Payment terms are typically net 15 days from invoice date. For larger projects, we may require a deposit before work begins. Late payments may be subject to interest charges of 1.5% per month or the maximum rate allowed by law.

Taxes

You are responsible for paying all taxes associated with your purchases, excluding taxes based on our net income.

6. Cancellation & Refunds

Cancellation by Client

You may cancel ongoing services with 30 days written notice. Deposits for project work are non-refundable once work has commenced.

Cancellation by Us

We reserve the right to suspend or terminate your access to our Services for violation of these terms or for non-payment.

Refunds

Due to the custom nature of our services, refunds are generally not provided for work already completed. If you are dissatisfied with our Services, please contact us to discuss resolution options.

7. Limitations of Liability

To the maximum extent permitted by law, Tricky Ace Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

Our total cumulative liability to you for all claims arising from or related to these Terms or the Services shall not exceed the total amount paid by you to us during the six-month period preceding the event giving rise to the claim.

8. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will cease immediately. If you wish to terminate your account, you may simply discontinue using our Services.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the federal republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our Services shall be resolved in the state or federal courts located in Nigeria.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
